Accounting for holding companies and investment corporations.

Year-end, tax and planning for holding companies and the businesses they own.

What we look at

What we look at in a holding company file.

Dividends from your operating company

Dividends from a connected operating company are generally received tax-free, though refundable tax and safe-income rules can apply.

Investment income

Passive income is taxed at a high rate up front, with part refunded when taxable dividends are paid out. Tracking those refundable tax accounts matters.

The small business deduction

Passive income above $50,000 a year across associated companies starts to reduce the operating company's small business deduction.

Capital dividends

The untaxed portion of capital gains can often be paid out to shareholders tax-free through the capital dividend account.

Protecting surplus

Moving surplus out of the operating company can help shield it from business risk.

Staying eligible for a sale

Excess cash in an operating company can disqualify its shares from the lifetime capital gains exemption. A holding company can help keep them eligible.

Guide

Holding companies in BC: how they work and when they help.

A holding company owns shares of your operating company, or holds investments, instead of you owning them personally. Used well, it protects surplus, adds flexibility and supports a future sale.

How money moves

Dividends paid from your operating company to your holding company are generally received tax-free, so profit can move up for investing or protection without personal tax. Part 4 tax and the safe income rules can apply in some cases, so each dividend is checked first.

Why owners set one up

  • Protection: surplus moved out of the operating company is shielded from its business risks
  • Investing: surplus can be invested without personal tax first
  • Sale: keeps excess cash out of the operating company so its shares can stay eligible for the lifetime capital gains exemption
  • Estate planning: supports freezes and succession to the next generation

Investment income inside a corporation

Passive investment income is taxed at a high rate upfront, and part of that tax is refunded when the corporation pays taxable dividends. Tracking those refundable tax accounts matters. Capital gains have an untaxed portion that can often be paid out tax-free through the capital dividend account.

The passive income limit

If your associated companies earn more than $50,000 a year of passive investment income, the operating company's small business deduction shrinks by $5 for every $1 over, and it disappears at $150,000. Investment choices and timing can manage this.

Setting one up

A lawyer usually incorporates the holding company and reorganizes the shares, often with a tax-deferred rollover under section 85 of the Income Tax Act. We model the tax side with your lawyer before anything is signed.

When it isn't worth it

If your company doesn't generate surplus beyond what you take out each year, a holding company adds another set of filings and fees without much benefit.

Questions

Common questions.

Do I need a holding company?

Usually when your operating company earns more than you need personally and you want to invest or protect the surplus. With little surplus, the extra filing cost often isn't worth it.

How is a holding company set up?

A lawyer usually incorporates it and reorganizes your company's shares. We model the tax side with them first.

Do you work with corporations that only hold investments?

Yes. Investment and real estate holding corporations are a core part of our work.

Does a holding company need its own tax return?

Yes. It files its own T2 return each year, even if its only income is dividends.

Can a holding company own real estate?

Yes, though rental income is taxed as passive income at the higher corporate rate.

Do I need to meet you in person?

No. Most clients meet by phone or video, and we're happy to come to you if you'd rather meet in person.

Talk to a CPA about your file.
